What is stock legend?

Stock legend contains important transfer restrictions to address U.S. Securities and Exchange Commission (SEC) regulations on unregistered securities. It is required to issue stock. The legend is part of the Notice of Issuance of Stock or the stock certificate your shareholders receive.

Where to find your company's stock legend?

Discuss with your legal counsel on the exact stock legend needed by your company.

A default legend clause called  Default - U.S. Securities Act of 1933 is added for your company as an example. You can edit and add to it based on your needs.

How to add and edit stock legend in

To add and edit stock legend clauses, go to Company > Legend view:
Then when you create or edit a stock grant, legend clauses can be selected to form the stock legend:
Afterwards, the full legend can be viewed in the Documents section of the security inspector view:
