Bulk Import Cap Table Data

    The Captable.io import template helps you bulk import data from a large cap table. We recommend using it when you have more than a dozen instruments, or when you're migrating from a different cap table spreadsheet or system.

    The import template can be found in Step 2 of the onboarding process, or by clicking on the Cap table import options button in the Ownership -> Cap Table Overview view:

    • Orange - required fields
    • Yellow - required if another field has data. For example, if you enter Preferred for a stock class' type, you also need to enter conversion rate.
    • Blue - optional fields

    Shareholders

    • ID - A unique five digit number to identify the stockholder.
    • Name - Stockholder's first and last name.
    • Email - Stockholder's email address.
    • Type - Investor type.
    • State / Province - required when shareholder is in the U.S. Enter the state abbreviation.
    • Country - ISO 3166-1 alpha-3, for example, USA for United States of America.

    Stock Classes

    • Stock Class Name - Required. Example: Common Stock, Series A. 
      • The unique name given to the class. This is different from class type.
    • Class Type - Required. Must be: Common or preferred.
    • Certificate Name Prefix - Required. Example: CSS, PS
      • Certificate prefix is used to identify the particular certificate and tie it to its class.
    • Board approval date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • Date when the board approved the stock class.
    • Shares Authorized - Required. Example: 10000000
      • Total number of shares authorized by the board.
    • Seniority - Required. Example: 1, 2
      • Securities liquidate in a particular order when the company exits. This indicates the sequence of liquidation, with a higher number representing more senior security. Common Stock typically is liquidated last, and has a seniority of 1 (default).
    • Pre Money Valuation - Optional. Example: $10,000,000 
      • Pre-money valuation of the company at the time this stock class was created.
    • Original Issue Price - Required when Stock Class is Preferred. Example: 1.25768.
      • The price per share at the initial issuance.
    • Conversion Rate - Required when Stock Class is Preferred. Example: 2, 3
      • Shares of Common Stock for each share of Preferred Stock.
    • Liquidation Preference - Optional, and only required when stock class is Preferred. Must be YES or NO.
      • Should this stock holder be paid before distributions may be made to common stock holders?
    • Liquidation Multiple - Required when Liquidation Preference is Yes. Example: 2, 3. 
      • The multiple of the Issue Price that must be paid to the preferred stock holders before distributions may be made to common stock holders.
    • Participation Rights - Optional. Must be YES or NO.
      • A type of preferred stock that gives the holder the right to receive dividends equal to the normally specified rate that preferred dividends receive as well as an additional dividend based on some predetermined condition
    • Participation Cap - Optional. Must be YES or NO.
      • Set a limit on the multiple of return on invested capital that a series of Preferred Stock can receive before its participation feature is cancelled.
    • Participation Cap Multiple - Required when Participation Cap is Yes. Example: 2, 3.
      • The multiple of return on invested capital that a series of preferred stock can receive before its participation feature is cancelled.
    • Comments - Optional. Any comments?

    Stock Grants

    • Certificate Name - Required. Example: CS-1 for common stock first grant.
      • Unique identifier for the stock grant. Use the prefix defined for the underlying stock class specified on Classes tab, followed by a number. 
    • Stock Class Name - Required. Example: Common Stock, Series A.
      • Name of the underlying stock class. Type the name exactly as it appears on Classes tab column A.
    • Issue date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date on which the shares were granted.
    • Shareholder Name - Required. Example: John Doe
      • The name of the stockholder. If the stockholder has multiple grants, type the name in exactly the same way for each grant. Any changes, such as an extra space at the end, could result in multiple stockholders with same name.
    • Shareholder Email - Optional. Example: johndoe@email.com
      • The stockholder's email address that you will be sharing access with. We will not contact the stockholder without your express action.
    • Shares - Required. Example: 50000.
      • The number of shares granted. Shares granted from a stock class cannot be higher than the total number of shares authorized under that class.
    • Price Per Share - Required. Example: $1.50236. 
      • The original purchase price per share. If nothing was paid for the grant, enter 0.
    • Is Vesting - Optional. Must be: YES or NO.
      • Does the stock grant have a vesting schedule?
    • Vesting Start Date - Required if Is Vesting is YES. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date from which the grant begins to vest.
    • Vesting Period - Required if Is Vesting is YES. Example: 48.
      • The total period time in which all granted stock will become vested. This period includes the cliff.
    • Vesting Cliff - Required if Is Vesting is YES (in months). Example: 12. 
      • The period of time after the vesting start date for which the stockholder must wait for the shares to vest. Shares that would have vested during the cliff, vest right at the end of it. In a typical vesting schedule (48 month period, 12 month cliff, 1 month vesting frequency), 25% of the options vest at the end of the cliff or the first anniversary of the vesting start date.
    • Vesting Frequency - Required if Is Vesting is YES. After cliff, vest every (months). Example: 1
      • The vesting frequency of the grant. It is usually 1.
    • Upfront Vesting - Optional. Must be: YES or NO.
      • Takes place when a number or percentage of shares vest prior to the cliff, generally at the start of the vesting period.
    • Upfront Vesting Date - Required if Upfront Vesting is YES. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date when the upfront vesting amount will vest. If applicable, it's generally same as the vesting start date.
    • Upfront Vesting Amount Type - Required if Upfront Vesting is YES. Must be: Shares or Percent.
      • Specify if you want a number of shares or percentage of the grant to vest upfront.
    • Upfront Vesting Amount - Required if Upfront Vesting is YES.
      • Format 100000 if Upfront_Vesting_Amount_Type is Shares.
      • Format 0-100 if Upfront_Vesting_Amount_Type is Percent.
      • Example: 15000 or 10. 
        • Enter the number or percentage of shares that will vest on the upfront vesting date.
    • Custom Vested at Cliff - Optional. Must be: YES or NO.
      • Takes place when a custom number or percentage of shares vest at the end of the cliff.
    • Custom Cliff Amount Type - Required if Custom Vested at Cliff is YES. Must be: Shares or Percent.
      • Specify if you want a number of shares or percentage for custom amount vested at cliff.
    • Custom Cliff Amount - Required if Custom Vested at Cliff is YES.
      • Format 100000 if Custom Cliff Amount Type is Shares.
      • Format 0-100 if Custom Cliff Amount Type is Percent.
      • Example: 15000 or 10.
      • Enter the number or percentage of shares that will vest at the end of the cliff.
    • Comments - Optional. Any comments?

    Stock Plans

    • Plan Name - Required. Example: Stock Plan, Warrant Plan.
      • A unique name for this Stock Option or Warrant plan.
    • Plan Type - Required. Example: Option, Warrant.  
      • If you are creating an incentive stock option plan for your employees, type Option in the column. 
      • If you are trying to reserve shares for a Warrant as an investment, type Warrant in the column.
    • Underlying Security - Required. Example: Common Stock.
      • The common stock class from which shares will be allocated to this plan. Type the name exactly as it appears on the Classes tab, column A.
    • Board Approval Date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • Date when board approved the Option plan or Warrant.
    • Shares Authorized - Required. Example: 2500000.
      • Total umber of shares that will be allocated to the Option Plan or Warrant.
    • Comments  - Optional. Any comments?

    Options & RSAs

    • Certificate Name - Required. Example: O-1. 
      • Unique identifier for the Option grant or RSA. This certificate number can only be used once.
    • Stock Plan Name - Required. Example: 2017 Stock Plan.
      • The plan name under which the Options or Restricted Stock should be granted. Type the name exactly as it appears on the Plans tab, column A.
    • Grant Type - Required. Must be: ISO, NSO, or RSA.
      • ISO (Incentive Stock Option) can only be granted to employees. NSO (Non-qualified Stock Option). RSA (Restricted Stock Agreement).
    • Grant Date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date on which the options were granted.
    • Shareholder Name - Required. Example: John Doe.
      • Full name of the shareholder.
    • Shareholder Email - Optional. Example: johndoe@email.com
      • The stockholder's email address that you will be sharing access with. We will not contact the stockholder without your express action.
    • Shares - Required. Example: 150000.
      • Number of options or restricted stock granted.
    • Price per share - Required. Example: $0.25.
      • The price at which the options can be exercised
    • Expiration Period - Required if Grant Type is not RSA. Format in years. Example: 10
      • The number of years from the grant date when this grant will expire.
    • Is Vesting - Required if Grant Type is RSA. Must be: YES or NO.
      • Option grants must have vesting so this field is not required. RSAs may not have vesting.
    • Vesting Start Date - Required if Grant Type is not RSA. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date from which the options or restricted stock begin to vest.
    • Vesting Period - Required if Grant Type is not RSA. Example: 48
      • The total period time in which all granted options or RSAs will become vested. This period includes the cliff.
    • Vesting Cliff - Required if Grant Type is not RSA. Example: 12
      • The period of time after the vesting start date for which the stockholder must wait for any options to vest. Shares that would have vested during the cliff, vest right at the end of it. Convertible Instruments

    • Certificate Name - Required. Example: Note-1
      • Unique identifier for the convertible instrument.
    • Note Type - Required. Must be: ‘Standard’, ‘500s Debt’, ‘YC Debt’, Pre Money SAFE’, ‘500s Security’, 'YCVC SAFE' or ‘Post Money SAFE’
      • The type of convertible instrument agreement.
    • Issue Date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date the convertible instrument was entered into.
    • Shareholder Name - Required. Example: John Doe
      • Name of the instrument holder.
    • Shareholder Email - Optional. Example: johndoe@email.com
      • The shareholder's email address that you will be sharing access with. We will not contact the stockholder without your express action.
    • Principal - Required. Example: $250,000
      • The principal amount borrowed under the instrument, before any interest is applied.
    • Maturity Date - Optional, only applicable for debt. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The maturity date on the debt instrument.
    • Interest Rate - Optional, only applicable for debt. Format: Decimal. Example (%): 5.25
      • This annual Interest Rate is accrued daily, monthly or annually on top of Principal, ahead of converting to equity
    • Accrual Frequency - Optional, only applicable for debt. Must be: 'Daily', 'Monthly', or 'Annual'
      • Frequency that interest amount is accrued on top of Principal
    • Converts To - Required. Must be: Preferred or Common.
      • Type of stock this instrument converts to.
    • Qualified Amount - Optional. Example: $350,000
      • The minimum equity financing amount required to trigger the conversion of this instrument.
    • Conversion Discount - Optional. Format: Decimal. Example (%): 20.00
      • Discount on price per share at conversion relative to what subsequent equity investors pay.
    • Valuation Cap - Optional. Example: $10,000,000
      • Principal is converted to equity at the lower of the valuation cap or the pre-money valuation in the subsequent qualified financing
    • Early Exit Multiple - Optional. Example: 2. Default: 1
      • Under 'Change of Control' scenarios, the guaranteed Principal multiplier that is paid out. Leave empty or 0 if it does not apply
    • Comments - Optional. Any comments?

Warrants

    • Certificate Name - Required. Example: W-1.
      • Unique identifier for the Warrant. This certificate number can only be used once.
    • Warrant Plan Name - Required. Example: Warrant Plan.
      • The plan name under which the warrant is issued. Type the name exactly as it appears on the Plans tab, column A.
    • Grant Date - Required. Format (MM/DD/YYYY). Example: 05/25/2017.
      • The date on which the options were granted.
    • Shareholder Name - Required. Example: John Doe.
      • Full name of the shareholder.
    • Shareholder Email - Optional. Example: johndoe@email.com
      • The stockholder's email address that you will be sharing access with. We will not contact the stockholder without your express action.
